Affiliate Agreement
An Affiliate must have written confirmation via email that he or she has been invited or accepted as an affiliate for the following agreement to be binding. To set up an Affiliate account without permission would be considered illegal and subject to legal prosecution subject to international law.
The following is an agreement between Yogic Mystery School, referred to as Provider, and Affiliate working in partnership and collaboration to earn referral fees through Yogic Mystery School products and services offered through our website: russillpaul.us
PROVIDER: The Provider, Yogic Mystery School, is a dba of Guha Soulworks LLC, reached at 7301 Ranch Road 620 N, Suite 155-169, Austin, TX 78726-4537 by mail and [email protected] by email.
AFFILIATE: Affiliate attests that he or she is 21 years of age or older and are of sound mind and body. Affiliate affirms that they have understood all parts of this Agreement and have accepted all aspects in their entirety. In the event the Affiliate wishes to be released from this Agreement, Affiliate agrees to communicate this in writing to the Provider's email, [email protected]
INDEPENDENT CONTRACTOR: Affiliate acknowledges that he or she is not an employee of Provider, Guha Soulworks LLC, or any of its dbas, and is functioning as an independent contractor. Affiliate accepts to be responsible for paying all necessary taxes required by law in his or her city, state, and country, as well as all the required taxes on income earned in the United States. Affiliate agrees to follow all applicable laws, both local and international, in any promotions or marketing campaigns, including GDPR laws, Canadian, Californian, or other, and assumes full responsibility for any direct marketing efforts.
COMISSIONS: Provider agrees to pay Affiliate the referral fees, commissions, or shared tuition mutually agreed upon in writing for specific campaigns. In all other instances, Affiliate accepts whatever commission Provider offers Affiliate since many factors need to be taken into account. Such factors include and are not limited to the following: i) price reductions; ii) bundling of products and services; iii) narrow profit margins; iv) amount of work, time, and energy required by Provider for that product and service; v) special promotions, including complimentary access to a product or service.
CALCULATIONS: Affiliate agrees that payments for all commissions are calculated twice a year in aggregate for those students whom the Affiliate referred and have completed their programs. For instance, if payments are calculated in April, those students who have recently signed up for programs will not be factored in the calculations since cancellations and refunds may occur after April that year for those programs. Commissions due to the Affiliate for these particular student payments will factor in the next Affiliate payment, say in November of that year.
PAYMENTS: Affiliate agrees that Affiliate payments for all commissions are calculated twice a year in aggregate only for those Affiliate referrals completed at the payment time. For instance, if Affiliate payments are calculated in April, those students who have recently signed up for programs will not be factored in the calculations to offer any cancellations. Instead, these payments will factor in the following analysis, say in November.
SERVICES: Provider agrees to fulfill the described service or online program outlined on the Provider's website at the time of purchase to the student referred by the Affiliate. However, should a student not be in good standing with the Provider, that student will be given a refund after being removed from the program or service. In this instance, there be no affiliate commissions due. It is improbable that such a student will register through an Affiliate. Nevertheless, Affiliate understands how the Provider needs to be protected in such instances.
PROCEDURES: Affiliate agrees to adhere to the Provider's specific tracking procedures to validate a student's referral or purchase of e-course or service offered by the Provider. The tracking process is configured by a third-part (Kajabi) that allows both Provider and Affiliate to track affiliate relationships. Only trackable referrals are eligible for Affiliate referral fees and commissions. This tracking process is vital since Provider markets and advertises the same courses widely. Both Affiliate and Provider are protected by the tracking URLs and methods in place through the Kajabi system that the Affiliate accepts as legally binding. In other situations, a referral might happen via email or by telephone that the Affiliate can substantiate. In such cases, commissions will be due to the Affiliate provided the student is not part of the Provider's established email or contact list.
AGREEMENTS: Affiliate agrees to include the terms of Provider's Student Agreement and Coaching Agreement in the purchase process for any programs or services that the Affiliate sells directly to his or her contacts. Affiliate accepts that the inclusion of Provider's Student Agreement and Coaching Agreement is essential for Affiliate to be eligible for Affiliate referral fees and commissions. Affiliate accepts that failure to include Provider agreements in any direct sales will result in Affiliate responsible for the following: i) any credit card fees charged by third parties in the event of forced cancellations on the part of a student; ii) costs involved in any legal issues instituted by the said student under the claim that they were unaware of the Provider's standard Student Agreement and/or Coaching Agreement. In such instances, there will be no commissions, and the Affiliate agrees to be responsible for any and all expenses required by the Provider to resolve any issues that may arise between students who claim they were not informed about Provider's Students or Coaching Agreement at the time of the purchase of that product or service.
ONGOING REFERRAL FEES: Once a particular student is linked to Affiliate through the established tracking procedures designed by the Provider, Affiliate accepts that any ongoing referral fees (other than any specific written agreements for particular products and services) are at the Provider's discretion. Affiliate understands that programs and services continuously undergo changes in pricing or maybe bundled in packages. Affiliate agrees to remain in good standing with Provider to qualify for any ongoing commissions and renew Affiliate relationship with the Provider annually.
UPDATES TO THIS AGREEMENT: Provider reserves the right to update this Agreement. In such instances the Affiliate will be informed of such updates via email.
